SETTING UP A COMPANY

With the purpose of giving a better understanding of the process, please find below a summarised version of the procedure:

1.- Obtaining of the name: The application for a company name is done at the Central Registry, who will issue a negative certification of the company name stating that no other company is registered under the name selected .

2.- Deed of incorporation: For the purposes of signing the deed of incorporation in the notary will have to provide the following documents:

a) Identity documentation of the intended partners. If they are foreigners they must obtain the NIE to proceed.
b) Identity of the administrators and their commitment.
c) Certification of the capital contribution of each partner based on their percentage of ownership. In such societies, the minimum capital is 3.005,06 €.
d) Articles of Association. These are key with respect to the name, purpose, address, date of end of the year, subscribed capital and the management system of society.

3.- Tax for Corporate Operations: After signing a Deed of incorporation, you must settle the Transfer Tax and Stamp Duty, in the form of corporate transactions, the amount payable will be 1% of the share capital of the new commercial set up.

4.- Application of provisional CIF: You must go to the Tax Administration office, corresponding to the registered business address, providing the required documentation, as well as the duly completed Form 036.

5.- Registration in the Register: Once you paid the tax, you present the original deed, along with the receipt of payment of the tax on corporate transactions, at the company registry office corresponding to the registered address of the company, to proceed with the inscription of the same, for the purpose of acquiring legal personality.

6.- Registration in the Census: You must present the duly completed Form 036 at the tax office corresponding to the company address, where they will inform you of the company’s obligations with the tax office. In this model 036 you will request a final CIF number; the company should then be registered for business tax and VAT regime.
